Corporate Services

M&A advisory across the transaction lifecycle:

  • Buy-side & Sell-side Transactions — screening and origination, valuation, term sheet and negotiation, and the execution work that carries a deal to signing — data room, due diligence co-ordination, management presentations, and the definitive documentation alongside your legal advisers.

  • Start-up Joint Ventures — structuring and negotiating new ventures, from greenfield entry and licence applications through to partner selection and shareholders' agreements, including the business plan and valuation a venture needs before an investor will look at it.

  • Corporate Finance & Valuation — discounted cash flow and comparable-company valuation, financial modelling and scenario testing, and assessment of the debt and equity a transaction requires — with a view on what different investor audiences will accept.

  • Strategic Alternative Reviews — testing the options open to a business or asset — hold, invest, partner or exit — against what each is realistically worth, so a board chooses with the numbers in front of it.

  • Inorganic Corporate Strategy Development — where to grow, by what route and which targets fit: incremental acquisition, in-market consolidation, complementary acquisition, or portfolio rationalisation and the divestment of non-core assets.

Academic Services

Courses are offered at undergraduate and postgraduate level. The control engineering material is drawn from active research and publication; the finance material from hands-on M&A transactions:

  • Foundations — Three things come first: representing signals in time and frequency, and what a system does to them in passing; the sensing chain that turns a physical quantity into a trusted estimate, calibration and noise included; and the linear algebra and analysis that control design rests on.
Signals and Systems; Measurement Systems; Applied and Advanced Mathematics.

  • Systems & Control — The classical transfer-function view, tested by root locus, Bode and Nyquist; the state-space view, where analysis turns directly into design; and the discrete-time theory that takes over once the loop is sampled.
Classical Control; Modern Control; Digital Control.

  • Advanced Control — Two strands at advanced undergraduate and postgraduate level: single-input single-output nonlinear systems, through Lyapunov stability and nonlinear observer design; and multivariable feedback, through optimal and robust synthesis under uncertainty and constrained predictive control.
Nonlinear Stability, Control and Estimation; Linear Optimal & Robust Control; Model Predictive Control.

  • Corporate Finance — Valuation and transaction practice taught from the deal side: how a discounted cash flow is built and defended, what moves an enterprise value range, and how an acquisition proceeds from market screening to completion.
Company Valuation; Applied Mergers & Acquisitions.
